We are looking for a talented, smart, and driven Director of Corporate Development to join our growing team. Reporting to the CFO and working closely with the CEO and Board of Directors, this person will be CARET’s first Corporate Development hire and play a critical role in continuing to shape the company’s strategy, focusing on M&A and strategic planning. The Director of Corporate Development will collaborate with the leadership team and business stakeholders to drive growth and business results, playing a crucial role in CARET’s portfolio optimization in the dynamic and rapidly growing LegalTech market.

The role
A hands-on yet strategic leader, the Director of Corporate Development will own CARET’s M&A strategy end-to-end, from research, sourcing and pipeline management to diligence, negotiations, valuation, and integration.
The ideal candidate will be a hands-on problem solver and collaborative team player with strong quantitative and strategic skills, a strong sense of ownership, accountability, and urgency. A deep understanding of SaaS, robust technical financial background, and experience in business case construction and transaction management across the M&A lifecycle are essential to perform this role effectively. Experience in Vertical SaaS platform businesses and/or LegalTech or Fintech are a plus.
This is a highly visible role, collaborating with CARET’s leadership, its sponsors and the board, and external parties such as investment banks and consultants. This person will be viewed as an expert and thought partner to CARET’s leadership. He or she will consistently seek opportunities to introduce new ideas to drive growth and challenge the status quo.
Requirements
- Own CARET’s M&A strategy and execution, including acquisitions, divestitures, and certain strategic partnerships
- Build and maintain CARET’s M&A framework and roadmap, in close collaboration with CARET leadership, board and investors
- Conduct market research and monitor market attractiveness and competitive landscape, including organic and inorganic activity of CARET’s competitors. Develop perspectives strategies based on such research
- Partner with the business to identify key areas of inorganic growth; proactively seek acquisition opportunities as well as other new growth opportunities that align with CARET’s strategic objectives
- Track and maintain the company’s M&A pipeline, including recurring reporting and reviews with leadership, the board, and business stakeholders
- Cultivate long-term relationships with strategic targets and key market participants
- Lead the development and communication of the strategic business case to obtain leadership and board support for M&A initiatives
- Act as a deal principal and manage the deal lifecycle from sourcing and underwriting valuations for potential targets, performing business diligence including Q&A with management, negotiating and structuring terms, managing functional due diligence, incorporating diligence findings into consolidated models, authoring term sheets and drafting definitive documents with legal teams
- Lead engagement of external resources required, if any, for transaction execution (investment banks, accountants, etc.)
- Assist with the company’s short- and long-term planning
Who you are / key qualifications:
- Undergraduate degree in finance, business, economics or a similar field; MBA and/or advanced degree preferred
- Ten years of relevant professional experience involving corporate development, finance, strategy or valuation
- Minimum four years of experience in investment banking, private equity, transaction financial services, or consulting with a proven track record of deal execution
- Excellent interpersonal and communications skills, positive, energetic, pro-active self-starter
- Proven track record leading and supporting M&A transaction execution, including proactive opportunity identification and deal cultivation
- Demonstrated experience analyzing and negotiating business transactions including acquisition evaluation, modeling, and financial analysis
- Experience and demonstrated aptitude managing and prioritizing multiple projects and initiatives
- Strong analytical horsepower and overall business acumen with an ability to analyze complex data and present it in a concise and simple way
- Ability to conduct market research and analysis, and develop strategies based on findings
- Skill to adapt to changing priorities and opportunities, handling multiple projects at once
- Passion for excellence, delivering great outcomes, while working in a fun, collaborative team environment
- Competency in deal financials and valuation analyses with ability to perform rigorous and data-driven diligence
- Ability to lead discussions with management teams to work towards strategic goals or perform business and financial diligence
- Domain expertise in SMB B2B vertical SaaS and/or platform-based business models is preferred

Depending on the position, compensation may also include commission, bonuses, etc. Potential for bonuses is based on company performance and potential for merit increases is based on performance.
