The position of Assistant General Counsel: Flooid is all about relationships and providing full legal support to the Company. Role Responsibilities

The Assistant General Counsel: Flooid is responsible for providing both strategic and operational legal support within Flooid with the support of an internationally recognized legal team. The role involves providing legal advice, guidance, and education to the Company and working closely with the General Counsel: Americas and the Sales and Account Executives to ensure effective negotiation of contracts and the onboarding of new business.

The Assistant General Counsel: Flooid drafts and negotiates multi-jurisdictional contracts as well as large and complex IT contracts. Other types of contracts worked on include professional services, support (managed services, development, and service desk), third party partnerships, subcontractors, and third-party terms and conditions, which will be across jurisdictions.

Primary responsibilities of the role include the following:

  • Aligning the Company’s legal strategy and acting as an ambassador of the business in all interactions, working alongside the wider legal teams within the Group.
  • Acting as the main legal point of contact for the Americas Sales and Accounts Executives.
  • Providing accurate, relevant, and timely advice to the business on a wide range of legal and business matters.
  • Providing support and education for the implementation of the Group’s contract lifecycle management system to ensure fast, efficient contracting through workflow automation.
  • Ensuring compliance with laws and regulations that apply to the business.
  • Drafting, reviewing, and negotiating a wide range of commercial contracts/agreements relating to customers and third parties, as well as support of RFP’s and other complex matters.
  • Supporting the drafting and implementation of Company policies.
  • Taking a key supporting role in governance and compliance activities, e.g. ISO 27001, ISO9001, and keeping abreast of legislative changes that may affect the Company.
  • Supporting the Supplier Management team with onboarding of suppliers, e.g. negotiating contracts, providing supporting documentation.
  • Supporting work relating to the placement of corporate insurances, e.g. professional indemnity, working closely with industry professionals to help assess risk and ensure the business is adequately protected.
  • Ensuring the Company’s trademark portfolio is maintained and liaising with third parties as appropriate.
  • Providing first line support to the Americas HR team on employment matters.
  • Producing, updating, and maintaining precedent documentation and contract databases.

Skills & Experience

A successful Assistant General Counsel: Flooid is confident and articulate, takes an empathetic approach, and has the ability to establish rapport quickly, build credibility, and make a positive impression. The ideal candidate needs to be both commercial and pragmatic, with the ability to take a holistic view of the business.

We are looking specifically for the following skills, experience, values, and competencies:

  • Qualified lawyer and admitted to practice law, preferably in Illinois or Texas.
  • At least two years of relevant in house or industry experience.
  • Demonstrated experience reviewing and negotiating Master Agreements, Statements of Work, Change Requests, Professional Services Agreements, SaaS, and Subscription Agreements.
  • Experience working with third parties (distributors, subcontractors, etc.) and referral agreements.
  • Previous exposure to multi-jurisdictional and cross-border international contracts.
  • Proven ability to work as part of a wider team in the business, focusing on the commercial outcomes required, thinking about the customer, and facilitating "win-win" situations.
  • Strong licensing experience and an interest in software in general.
  • Proven ability to thrive in a fast paced, dynamic in-house IT environment.
  • Excellent interpersonal, oral, and written communication skills.
  • Demonstrated ability to communicate in a clear, concise, and open manner, avoiding legal jargon.
  • Strong analytical, problem solving, and critical thinking skills.
  • Excellent organizational skills and ability to handle multiple responsibilities and deadlines.
  • Ability to work under pressure to tight timescales with the ability to prioritize accordingly.
  • Strong attention to detail, accuracy, and quality.
  • Proactive and energetic with a positive attitude.

Benefits

Position Details: This is a full-time salaried hybrid position located in either the greater Chicago, Illinois area or the greater Dallas, Texas area. The nature of the role is such that significant visibility in the office is essential, so the successful candidate will be expected to be in the office two or three days per week.
