Job Description:
Amogy is seeking a passionate Corporate Counsel to join our Legal Team. You will be responsible for providing legal advice and analysis to every team at the company, including the executive leadership team. You will work on a wide variety of legal matters including commercial transactions, intellectual property agreements, debt and equity financings, regulatory analysis, corporate governance, employment matters, investor relations, and cross-border agreements, among other legal issues. Candidates do not need experience in all or most of these areas but must be willing to learn new areas of law. This role is ideal for someone seeking broad legal experience and the opportunity to be involved in key business decisions.
- Advise all teams on legal issues impacting the company
- Structure, draft, and negotiate commercial contracts, R&D agreements, and consulting agreements
- Analyze legal and regulatory developments impacting the company
- Work with Legal team to structure, negotiate, and close debt and equity financings
- Draft resolutions and other materials for Amogy’s Board of Directors
- Work with Corporate Secretary to advise Amogy Board on matters of corporate governance
- Negotiate purchase and service agreements
- Advise People team on employment issues
- Work with and manage outside counsel in the US and abroad, including in Norway and Singapore
- Liaise between multiple internal teams and third parties in relation to contract negotiations, investor relations, and other legal matters
- Serve as problem solver on various issues that arise in the day-to-day operations of the company
- Work at the intersection of law, business, and technology, with opportunities to contribute beyond just offering pure legal advice
Requirements
The minimum requirements we seek:
- J.D. from an accredited law school and license to practice in at least one U.S. jurisdiction
- 4+ years of legal experience
- Experience in one or more of the following areas: commercial contracts, IP transactions (e.g., joint development agreements, licensing agreements), environmental regulation, cross-border agreements, advising startups (in-house or as outside counsel), maritime industry, transportation industry, renewable energy industry, manufacturing, equity financings, international tax and structuring
- Self-starter with a “take ownership” attitude and ability to learn quickly on the job
- Ability to understand high-level commercial, engineering, and finance concepts
- Strong communication skills; ability to explain complex legal issues to non-lawyers in simple terms
Preferred Experience
- Experience working at a startup or advising startup clients
- Experience working with engineers or other technologists
- Law firm experience
The salary pay range for this position is $160,000 to $200,000. Exact compensation may vary based on skills, job experience and physical location.
