Requirements
Role Overview:
As Greenbacker continues to raise capital and grow our investment portfolio and investment management services, we seek a full time Corporate Paralegal to assist with a wide range of legal matters, primarily corporate in nature. While the role will report to Greenbacker’s Senior Paralegal , the selected individual will need to work independently and collaborate with colleagues across the organization to implement certain legal administration, process and reporting functions related to Greenbacker. As a small and evolving firm, the responsibilities will be broad, varied and all encompassing. Role can be based in the vicinity of our offices in Portland, Maine, or New York City.
Key Responsibilities:
- Prepare monthly and quarterly Board materials, including the agenda and resolutions, for review by the General Counsel and for distribution to Greenbacker’s Board through Boardvantage;
- Draft and distribute unanimous written consents for Board approval, as needed;
- Prepare corporate and organizational documents; maintain accurate lists and reminders for annual corporate maintenance;
- Draft incorporation/formation documents and coordinate with corporate filing agents when needed;
- Willing to assist with post entity formation work including but not limited to the Corporate Transparency Act;
- Assist with financial closings including but not limited to obtaining signatures, good standing certificates and other closing deliverables as needed;
- Provide administrative support relating to legal documentation; assist in implementation of contract compliance program and entity management system;
- Track legal matters and deadlines, including reporting requirements, due diligence requests, compliance deadlines and litigation matters; and
- Ability to track status of outside counsel invoicing; become the liaison between outside counsel and internal Greenbacker accounts payable department for invoice communications and reconciliation.
Education and Experience
- Up to five of corporate paralegal experience in both a law firm and in-house setting preferred
- Experience serving as a corporate paralegal to a publicly reporting entity with a Board of Directors preferred
- Experience forming corporate entities and drafting related operating agreements preferred
- Bachelor’s degree or completion of paralegal program
- Intermediate skills with Microsoft Office programs such as Word, Excel and Sharepoint
- Proficiency with Boardvantage ora similar Board portal preferred
- Ability to understand and learn Oracle
- Undergraduate or graduate degree or coursework in law, legal studies, business administration preferred.
