JOB SUMMARY
The General Counsel & Chief Compliance Officer (GC) is responsible for overseeing the legal aspects of the organization. This role includes ensuring compliance with healthcare regulations, managing legal risks, handling litigation, and providing strategic legal advice to the executive team and board of directors.
Reporting Structure: Reports directly to the CEO. Works closely with the board of directors and senior management.
ESSENTIAL DUTIES AND RESPONSIBILITIES
1. Regulatory Compliance:
- Ensure the organization adheres to federal, state, and local healthcare laws and regulations, including HIPAA, Stark Law, Anti-Kickback Statute, and others.
- Develop and implement compliance programs to prevent illegal, unethical, or improper conduct 2. Legal Strategy and Risk Management:
- Provide strategic legal advice to the CEO, board of directors, and senior management on a wide range of issues.
- Identify and manage legal risks associated with the organization’s operations and strategic initiatives. 3. Contract Management:
- Draft, review, and negotiate contracts, including those with vendors, partners, and other third parties.
- Ensure that all contractual obligations are met and aligned with the organization’s objectives. 4. Litigation Management:
- Oversee all litigation, arbitration, and dispute resolution processes involving the organization.
- Coordinate with external counsel and manage legal budgets. 5. Corporate Governance:
- Advise the board of directors on corporate governance matters.
- Ensure that the organization’s corporate governance practices comply with all relevant laws and best practices. 6. Ethics and Compliance:
- Promote ethical behavior and ensure compliance with the organization’s code of conduct.
- Conduct internal investigations and handle compliance-related issues. 7. Employment Law:
- Provide legal guidance on employment law issues, including employee contracts, disputes, and compliance with labor laws.
- Manage employment-related litigation and internal investigations. 8. Mergers and Acquisitions:
- Support M&A activities by providing legal advice and due diligence.
- Draft and negotiate transaction documents. 9. Intellectual Property:
- Protect the organization’s intellectual property rights.
- Manage the intellectual property portfolio, including patents, trademarks, and copyrights. 10. Training and Development:
- Develop and implement training programs for staff on legal issues and compliance.
- Keep the legal team and other staff informed about changes in laws and regulations affecting the organization.
Requirements
QUALIFICATIONS AND EXPERIENCE
- Strong understanding of the regulatory environment, healthcare law a plus.
- Excellent leadership and management skills.
- Strong strategic thinking and problem-solving abilities.
- Exceptional communication and negotiation skills.
- High ethical standards and integrity.
- Proven track record in managing complex legal issues and litigation. Education:
- Juris Doctor (JD) degree from an accredited law school.
- Active license to practice law.
