Bridge33 Capital is a rapidly growing, vertically integrated real estate private equity firm focused on open-air strip retail. The Company recently raised $458 MM in its latest opportunistic fund, marking a key milestone in the Company’s growth.
We are seeking an experienced GENERAL COUNSEL to join our dynamic legal team. This position is responsible for providing legal counsel and support to the company’s real estate and corporate operations, supporting a range of critical activities in various business units including Leasing, Property Management, Tenant Coordination, Construction, Asset Management, Fund and Corporate Operations. An integral aspect of this role includes leveraging strong organizational and leadership skills to manage team members effectively, collaborate with other business units and build up legal operations to achieve our business objectives. This position is preferably based in Seattle, Washington, at Bridge33 corporate headquarters, however we are also open to a hybrid or remote work arrangement.

ESSENTIAL RESPONSIBILITIES
- Support senior executives on securities law and compliance matters, proactively working to identify and systematically mitigate risks in these areas and ensure adherence to relevant regulations.
- Provide strategic legal support to the Company on fund structuring, deal structuring, and corporate organizational matters, ensuring compliance with relevant laws and regulations while achieving the Company’s business objectives.
- Advise and support senior executives on employment law and legal matters related to employees, including hiring, terminations, and compliance with relevant labor laws and regulations. Liaise and utilize outside counsel as necessary for domain expertise.
- Collaborate with senior executives to proactively identify, assess, and manage risks across all areas of the Company's real estate and corporate operations, providing strategic legal guidance and recommendations to mitigate potential liabilities as the Company grows.
- Build, optimize and scale legal operations, focused on streamlining processes, generating positive ROI, efficiency, and continuous improvement in all aspects of legal operations. Develop and implement repeatable, controlled processes. Partner with business units to identify and resolve complex real estate issues and risks, developing and implementing systematic programs to consistently mitigate those risks.
- Ensure compliance with local laws and regulations across various jurisdictions for Company operations.
- Provide legal counsel to internal departments on real estate matters. Work closely with various business units including Leasing, Property Management, Tenant Coordination, Construction, Lease Administration, and Asset Management.
- Ensure that the company can fulfill all real estate operational requirements from a legal perspective, including drafting, negotiating, and interpreting real estate documents (such as leases, easement agreements, title commitments, legal descriptions, construction contracts, estoppels, SNDAs, waivers, etc.), in collaboration with relevant business units.
- Manage and lead a team of paralegals and internal lawyers to effectively service other business units for real estate matters.
- Foster a high-performance culture within legal operations, focused on delivering results through active, collegial collaboration with other business units.
- Utilize, manage, and coordinate with third-party counsel to support real estate, fund, and corporate operations. Manage and coordinate outside counsel to ensure the efficient delivery of services and cost management. Build and maintain strong relationships with outside counsel and proactively manage their performance to align with the company's goals and objectives.
Requirements
QUALIFICATIONS
- Juris Doctor (JD) degree from an accredited law school.
- At least 10-15 years of experience, with a significant portion of that experience in real estate law, corporate law, or private equity.
- Licensed and in good standing to practice law within at least one state in the U.S.
- A suitable candidate for this position should have the following qualities: a collaborative approach, an ability to work with diverse and multidisciplinary teams, and a self-motivated drive to handle multiple projects under tight deadlines.
- Strong knowledge of legal principles and practices related to real estate, contracts, corporate, private equity and securities law.
- Excellent communication, negotiation, and drafting skills.
- Excellent team management, leadership, and collaboration skills.
- Ability to work independently and collaboratively in a fast-paced and dynamic environment.
