Full Job Description
We are hiring at Valsoft and are hunting for a driven, hungry, highly motivated and dynamic M&A Director – US to help us accelerate our expansion across the US and join our rapidly expanding high-performance team!
The M&A Director – US will work in an extremely entrepreneurial environment and will be responsible for building relationships with software business owners, brokers, and the like, with the goal of building, maintaining, and executing on a deal pipeline. You will be a full-cycle M&A professional with salesmanship and charisma for business development activities but also have analytical and financial authority to manage and execute the due diligence process.
The US-based M&A Director will work remotely from anywhere within the US but still have the full support of our core investment team of 30+ in Montreal, Canada.
Candidates need not worry about having an existing network of business owners, entrepreneurs, or bankers—while this is a plus, a much stronger focus is placed on the candidate’s ability to drive end-to-end M&A activity with relative autonomy.
This is an incredible opportunity to join one of Canada’s fastest growing companies and to manage, invest and deploy large amounts of capital in one of Valsoft’s core markets. Being a senior position, it is expected that the M&A Director will have the capability to eventually build, scale and manage a local M&A team in the UK market.
Here is a little window into our company: Valsoft was founded in 2015 in Montreal, Canada. Our focus is to acquire and grow vertical market software businesses that provide mission-critical solutions in their respective niche markets. So far, we have acquired over 90+ businesses and have over 3000 employees across 20+ countries. This business model creates a rapid growth environment, allowing the acquisition of new companies based on profitable vertical performance. In 2023, Great Place to Work® named Valsoft one of the best workplaces in the financial services industry.
Our motto is 'Be Humble, Stay Hungry!'
The successful candidate will work in a remote work model anywhere in the US!
What your day will look like:
- Identifying M&A targets (generate $200M+ of buyable revenue opportunities per quarter)
- Deal origination (emailing companies, holding exploratory calls, meeting face-to-face with owners and sell-side advisors)
- Evaluate and identify target acquisitions that fit Valsoft’s criteria and determine valuation expectations
- Conduct pre-acquisition due diligence (commercial, financial) in conjunction with our Montreal team
- Negotiate deal terms (with the support of the Investment Partner, you will, when fully ramped up, achieve $15-20M per year in acquired revenues)
About You:
- At least a Bachelor's degree or higher in either Finance, Accounting, Engineering, or another quantitative field is essential
- 5-10 years experience in M&A, corporate development, private equity, investment banking, capital markets, or equity research
- Strong knowledge of the technology sector, and in particular vertical-market software, is a huge plus
- Strong business development acumen and high emotional intelligence
- Strong financial analysis skills, including building financial models
- Willingness to travel (25% of the time)
- Being fluent in English, both written and verbal, is essential
- Must be legally authorized to work in the US
Nice to haves:
- CFA or CIIA
- Familiarity with permanent equity, buy-and-build strategies, vertical-market software, or software experience/knowledge
- Hunger to learn about different businesses in new and diverse industries
- Growth mindset to continually grow, improve and evolve to a higher level
- Strong interpersonal skills to genuinely build long-term, enduring, highly successful relationships
- Entrepreneur mindset to set up operations in a new country
- Leadership skills to design, build, manage and nurture a local team of high-performers
