JOB SUMMARY:
We have recently created a new role of General Counsel that will sit as a trusted member of our Executive Leadership Team and lead the organization’s legal affairs based in our corporate office in Lake Mary, Florida. This is a fantastic and multifaceted role that will provide in-house advice on a broad range of legal matters within the business, from corporate governance, contracts, regulatory compliance, intellectual property, and employment law. The role will report directly to the CEO and will also serve as a Corporate Officer & Company Secretary.
As General Counsel, this role will be crucial in helping the organization navigate legal complexities and will serve as the primary legal advisor, offering guidance and support to ensure compliance with applicable laws and regulations. This role requires a highly experienced and knowledgeable legal executive with strong business acumen and executive presence. Our General Counsel will be responsible for providing legal advice and counsel on all matters ranging from patents, contracts, intellectual property, real estate, acquisition targets, supplier and customer agreements, NDAs, regulatory compliance, and employment law across all our locations, to include California, Florida, Georgia, Indiana, New York, and New Jersey. They will also have board interaction and the duties associated with Board of Directors Meetings.
This role will be responsible for carrying out complex and diverse assignments that require original and creative thought and analysis and may require extensive input from cross-functional leaders. Responsible for making primary legal determinations in matters of substantial importance to the organization. Leverage and manage outside legal partners as needed. Establish legal policies, procedures, and business practices to drive compliance and risk mitigation.

- A strong foundation in legal principles and knowledge across various areas of law, including corporate law, contract law, employment law, regulatory compliance, and intellectual property.

- The ability to understand the organization’s business objectives and align legal strategies with overall business goals. This includes a keen understanding of the industry in which the organization operates.

- The capacity to think strategically and provide legal advice that supports the long-term goals and objectives of the organization. General Counsels need to anticipate legal issues and provide proactive solutions.

- Proficiency in assessing and managing legal risks. This involves identifying potential legal challenges and developing strategies to mitigate or address them.
Communication Skills:
- Strong written and verbal communication skills are essential for conveying complex legal concepts in a clear and understandable manner. General Counsels will communicate regularly with executives, the Board of Directors, employees, and external stakeholders.
Negotiation and Contract Drafting:
- The ability to negotiate effectively and draft contracts that protect the company’s interests while facilitating business transactions.
Ethical Judgement:
- Unquestionable integrity and a commitment to ethical conduct. Often relied upon to provide ethical guidance and ensure the organization’s compliance with legal and ethical standards.

- Strong problem-solving skills to address legal challenges creatively and find practical solutions through analyzing complex issues and proposing viable options.

- Deep knowledge of relevant laws and regulations applicable to the organization’s industry, and the ability to ensure compliance with these legal requirements.

Requirements
REQUIREMENTS:
- Juris Doctor (JD) degree from an accredited law school
- Admission to the bar in the state of Florida
- Minimum of 7–10 years of experience as a practicing attorney, with a focus on corporate and commercial law
- In-depth knowledge of legal principles and regulations
- Strong analytical and problem-solving skills
- Excellent communication, interpersonal skills, and executive presence
- Ability to effectively manage multiple priorities and deadlines
